1. General Terms & Acceptance

These Terms and Conditions apply to all commercial transactions, quotations, purchase orders, and sales contracts entered into between Ganpati Foils ("we", "us", or "the Company") and the customer or purchasing entity ("the Buyer" or "Client").

Any order placed by the Buyer, whether in writing, electronically, or verbally confirmed against a proforma invoice, constitutes complete acceptance of these terms. Any conflicting or additional terms proposed by the Buyer are expressly rejected unless specifically agreed to in writing by our authorized representative.

2. Quotations & Orders

Quotations provided by the Company are indicative and subject to written order confirmation. Standard quotations are valid for 7 to 15 calendar days from the date of issue, unless revoked earlier due to price fluctuations in primary aluminium ingot raw material benchmarks (such as LME, MCX, or domestic primary producers).

• Orders are considered binding only after written acceptance or proforma invoice issuance by Ganpati Foils.
• Minimum Order Quantities (MOQ) apply based on roll width, alloy grade, micron thickness, and custom slitting requirements.
• Any requested changes or cancellations after production has commenced are subject to Company approval and compensation for incurred costs.

3. Pricing & Payment Terms

All prices are quoted in Indian Rupees (INR) unless otherwise agreed. Prices are exclusive of Goods and Services Tax (GST), freight, loading/unloading charges, transit insurance, and any applicable local entry taxes, which shall be charged additionally at prevailing rates.

• Payments must be made strictly according to the agreed payment terms documented on the Proforma Invoice or Tax Invoice.
• Payment modes include RTGS, NEFT, IMPS, or Cheque favoring "Ganpati Foils".
• Custom slitting or printed foil jobs require an agreed advance deposit prior to processing.
• Overdue payments may attract commercial interest at 18% per annum from the due date until full realization.

4. Technical Specifications & Manufacturing Tolerances

Aluminium foil and packaging laminates are precision industrial products manufactured in compliance with applicable national and international standards (IS / ASTM / ISO). The following commercial tolerances apply to all supplies:

• Thickness / Gauge: Standard manufacturing tolerance of ±5% to ±8% for bare foil, and ±8% to ±10% for coated or laminated substrates.
• Slitting Width: Reel slitting width is maintained within ±0.5 mm to ±1.0 mm.
• Coating Grammage: Heat seal lacquer (VMCH / HSL) coating is held within ±0.5 GSM of target specifications.
• Roll Cores: Supplied on standard 76 mm (3 inch) inner diameter paper or aluminium cores.

5. Quality Assurance & Testing

Ganpati Foils operates under an ISO 9001:2015 accredited quality management system. All materials undergo strict quality inspection before dispatch.

Pharmaceutical grades (Blister Foil, Strip Foil, VMCH Paper) can be supplied with a Certificate of Analysis (COA) indicating alloy grade (Alloy 8011, 1200, 1230), pinhole count, tensile strength, elongation, and heat-seal integrity.

6. Dispatch, Delivery & Transit

Dispatches are made from our manufacturing / stocking warehouse at Khasra No. 1011, Bishrakh Road Indl Area, Chaprulla, Greater Noida / Gautam Buddha Nagar, UP.

• Delivery timelines are estimated based on material availability and machine loading schedules at the time of order confirmation.
• Reels are securely packed with multi-layer protective moisture barrier films and corrugated packaging to prevent transit damage.
• Unless explicitly agreed as "Delivered / FOR Destination", risk of loss passes to the Buyer once goods are handed over to the designated transport carrier.

7. Inspection, Claims & Returns

The Buyer must inspect all consignments promptly upon delivery. Visible external damage or missing packages must be endorsed on the transporter's consignment note (LR copy) and reported within 48 hours with photographic evidence.

Any claims regarding technical defects or specification variance must be submitted in writing within 7 calendar days of receipt. The material in question must remain in its original rolls and packaging for verification. No returns are accepted without prior written Return Material Authorization (RMA).

8. Storage & Handling Guidelines

Aluminium foil rolls must be stored in clean, dry indoor conditions at ambient temperatures between 15°C and 30°C with relative humidity below 65%. Rolls should be stored horizontally on pallets and protected from direct moisture, corrosive chemicals, and physical impact.

The Company is not liable for material degradation resulting from improper warehouse storage, rough handling, or incorrect machine settings during conversion or sealing.

9. Limitation of Liability

The Company's total liability for any claim arising out of the supply of goods shall not exceed the invoice value of the specific quantity of defective material. Under no circumstances shall Ganpati Foils be liable for indirect, incidental, punitive, or consequential damages, including loss of production, profit, or business interruption.

10. Force Majeure

Neither party shall be held responsible for failure or delay in performing obligations if such delay is caused by events beyond reasonable control, including acts of God, flood, fire, war, governmental restrictions, power grid failures, or primary raw material supply shortages.

11. Governing Law & Jurisdiction

All agreements, quotations, and transactions shall be governed by and interpreted in accordance with the laws of the Republic of India. The courts situated in Gautam Buddha Nagar (Noida / Greater Noida, Uttar Pradesh) shall have exclusive jurisdiction over any dispute arising from or related to supplies made by the Company.
